Make the commercial promise specific
Identify the exact parties, deliverables, specifications, quantities, dates, and acceptance process. For services, describe the expected output rather than relying only on broad activity labels. State which attachments form part of the agreement and resolve conflicting versions. If an important assurance appears only in a presentation or chat, ask whether and how it should be reflected in the final contract.
Read payment conditions alongside performance
Connect each payment with the event or document that makes it due. Clarify currency, taxes, invoicing, bank details, expenses, and the treatment of disputed items. Ask what happens if delivery is partial or a required approval is delayed. A payment table can look precise while leaving uncertainty about whether the underlying condition has actually been satisfied.

Test the change and exit provisions
Consider realistic changes: a revised specification, a delayed dependency, an extended service period, or a need to end the relationship. Identify who can approve changes and which notices are required. Review liability, agreed damages, refunds, termination, and post-termination obligations together. Do not assume that every written limitation or remedy will be enforceable exactly as drafted under the applicable law.
Check language, authority, and execution
Have the Chinese and English versions reviewed for substantive differences, including the clause addressing which text controls. Confirm who may bind each party and how the complete agreement will be executed. The Civil Code recognizes circumstances in which conduct and accepted performance can matter to contract formation. Avoid assuming that nothing can be binding until a preferred signature ceremony has taken place.
Treat dispute terms as part of the deal
Read the governing-law and dispute-resolution clauses before a disagreement arises. Ask whether the chosen procedure is available, what the wording means, and how notices will be delivered. A clause copied from an unrelated contract may not suit the parties or transaction. Keep a complete final copy and record later amendments so that the operative agreement remains identifiable throughout the relationship.
